Infomaniak transfers voting rights to new Foundation to ensure independence and privacy

Infomaniak has announced that it has transferred its majority voting rights to the newly established Infomaniak Foundation, a Swiss public-interest entity created to protect the company’s independence, privacy commitments, environmental goals, and local ties. Completed on May 13, 2026 by founder Boris Siegenthaler, the move gives the Foundation special non transferable shares with permanent blocking power over any sale, takeover, or change of control, making Infomaniak’s independence a structural safeguard rather than a pledge.

The company cited the rise of artificial intelligence, acquisitions of European cloud providers, extraterritorial legislation, and geopolitical tensions as key reasons for securing its governance. While Infomaniak had previously expanded employee ownership, it says that model was not enough to address future departures or succession risks. The Foundation will also act as a reference shareholder and support public interest projects focused on digital sovereignty, ethical technology, the environment, and energy transition.

Its Shareholding Charter formalizes principles such as independent control, privacy, transparency, environmental responsibility, and customer data protection. Infomaniak says customer data remains hosted in Switzerland, is never resold, and any use beyond the requested services, including AI training, requires explicit and revocable consent. The company also confirms that customer contracts, services, and data handling remain unchanged, with daily operations still managed by its current executive team.
